Company Profile

The Company was established with the name of PT. Rimba Niaga Idola in pursuant to Deed No.247 dated 11 April 1987, made before Misahardi Wilamarta, S.H, a notary in Jakarta. The establishment deed was approved by Minister of Justice Republic of Indonesia through Decree No.C2-1219.HT.01.01.Th.89 dated 4th February 1989 and was published in State Gazzette Republic of Indonesia No. 90 dated 10 November 1989, Addendum No.2990/1989. In accordance with the resolution of Extraordinary General Meeting of Shareholders on 27 December 1996, the Company’s name changed into PT. Transindo Multi Prima Tbk.

In accordance with the Notarized Resolution of Extraordinary General Meeting of Shareholders No. 56 dated 25 February 2000 made before Fathiah Helmy, S.H., a notary in Jakarta was approved by Minister of Justice and Laws Republic of Indonesia through Decree No. C – 3988. HT.01.04.TH.2000 dated 28 February 2000; registered in Company Registra Office of South Jakarta with TDP No.090315228222, under No.260/RUB.09.03/III/2000 dated 15 March 2000; published in Addendum No.4862 of State Gazette Republic of Indonesia No. 69 dated 29 August 2000; and PT. Transindo Multi Prima Tbk. Changed its name into PT Bentoel Internasional Investama Tbk.

In 2002, the Company increased its issued and paid up capital from Rp269,325,000,000 to Rp336,656,250,000, as stated in the Deed No. 150 dated 27 June 2002, made before Indriani Damayanti Siregar, S.H., substitute of Elywati Tjitra, S.H., Notary in Jakarta. The amendment was received by the Directorate General of Administration of General Law on behalf of Minister of Justice and Human Rights of the Republic of Indonesia which duly received at Company Registration Office of South Jakarta concerning amendment of TDP No. 090315128222 under No.1385/RUB.09.03/XI/2002 dated 5 November 2002, and was published in Addendum No.1124 of State Gazette of Republic of Indonesia No. 103 dated 24 December 2002. The last amendment to the Company Artcles of Association based on notarized of Eliwaty Tjitra, SH, Notary in Jakarta, No.238 dated 27 June 2008, to comply with the the Corporate Code / Law No.40, 2007, which was approved by the Minister of Justice and Human Rights of Republic of Indonesia in Decree No.AHU-60855.AH.01.02., 2008 dated 10 September 2008.
